The short version
01Who we are
FirstBridge Digital (“FirstBridge”, “we”, “us” or “our”) is the brand name used by Hangzhou Lingjuli Chuhai Digital Technology Co., Ltd. (杭州零距离出海数字科技有限公司), a company registered in Hangzhou, Zhejiang, China, with its registered address at Room 2903, Building A, No. 4760 Jiangnan Avenue, Puyan Street, Binjiang District, Hangzhou, Zhejiang, China.
These Terms of Use (the “Terms”) apply to www.firstbridgedigital.com, its subdomains and any content, forms or features we make available through them (together, the “Website”). They apply to every visitor, whether you are browsing, contacting us, downloading a resource or otherwise using the Website.
“Services” means the digital marketing, website design and development, content, paid media, search engine optimisation, influencer marketing, consulting and related services we offer. If you engage us, the written agreement between you and FirstBridge — such as a master services agreement, proposal, statement of work or order form (a “Client Agreement”) — governs the Services. If there is a conflict between these Terms and a Client Agreement, the Client Agreement controls for the Services it covers.
02Acceptance and eligibility
By accessing, browsing or using the Website, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Website.
You must be at least 18 years old (or the age of majority in your jurisdiction) and legally capable of entering into a binding agreement. If you use the Website on behalf of a company or other organisation, you represent that you have authority to bind that organisation to these Terms, and “you” includes that organisation.
Some parts of the Website or certain Services may be subject to additional terms, such as event registration rules or platform-specific conditions. Those additional terms apply alongside these Terms. If they conflict, the additional terms control for the relevant part.
03The website and its content
The Website is provided for general information about FirstBridge and our Services. It is not a binding offer, and nothing on it creates a client relationship, warranty or commitment on our part.
We may add, change, suspend or remove any part of the Website at any time, including features, content and availability. We do not guarantee that the Website will be available uninterrupted, error-free or free from harmful components, or that any content is complete, current or suitable for your particular purpose.
References to third-party platforms, tools, companies or brands — such as advertising networks, marketplaces or analytics providers — are for identification and description only. All third-party names and marks belong to their respective owners. Their inclusion does not imply any endorsement, partnership or sponsorship unless we expressly say so.
Any figures, benchmarks, timelines or examples on the Website are illustrative. Market conditions, platform rules, budgets, creative, competition and other factors can materially change outcomes.
04Services and client agreements
Descriptions of our Services on the Website are summaries only. The specific deliverables, scope, fees, timeline, reporting, ownership and other terms for a client engagement are set out in the applicable Client Agreement.
We do not provide the Services until a Client Agreement has been accepted by both parties (or we have otherwise confirmed our engagement in writing). You are responsible for providing accurate briefs, timely approvals, required access and materials, and for ensuring that any content, product claims or assets you give us may lawfully be used.
No guarantee of results
Digital marketing outcomes depend on many factors outside our control, including platform algorithms and policies, market demand, competition, budget, creative performance, seasonality and economic conditions. Unless a Client Agreement expressly states otherwise, we do not guarantee any particular ranking, traffic, reach, conversion rate, revenue, return on ad spend or other result. Case studies, testimonials, metrics and examples on the Website describe past work; they are not predictions or promises of future performance.
Third-party platforms
Our Services may involve third-party platforms, tools and service providers. Their availability, pricing, policies and performance are controlled by them, not by us. We are not responsible for a third party’s acts, omissions, outages, policy changes or decisions, although we will use reasonable efforts to help manage their impact on an engagement.
05Permitted use
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable licence to access and view the Website and to print or download reasonable extracts of its content for your internal evaluation or your own lawful business use, provided you keep all copyright and other proprietary notices intact.
This is the only licence we grant. No other rights are transferred to you, whether by implication, estoppel or otherwise. In particular, you may not reproduce, republish, distribute, sell, license, publicly display, frame, mirror, scrape, text- or data-mine, or create derivative works from the Website or its content, or use it to train or improve any machine-learning or artificial-intelligence model, without our prior written consent.
06Prohibited conduct
When using the Website, you must not:
- violate any applicable law, regulation or third-party right, including intellectual-property, privacy and publicity rights;
- upload or transmit viruses, malware, ransomware or any other harmful or disruptive code;
- attempt to gain unauthorised access to the Website, its servers, networks, systems or data, or probe, scan or test its security or vulnerabilities;
- interfere with or disrupt the Website or its hosting infrastructure, including through denial-of-service attacks, excessive automated requests or bypassing rate limits;
- scrape, crawl, harvest or extract data from the Website using bots, spiders, scrapers or other automated means, except as permitted by our robots.txt or with our prior written consent;
- impersonate any person or entity, or misrepresent your affiliation with any person or entity;
- submit content that is false, misleading, defamatory, obscene, harassing, hateful or infringing, or that contains another person’s confidential or sensitive personal information without lawful authority;
- collect or store personal information about other users or visitors without a lawful basis;
- reverse-engineer, decompile, disassemble or attempt to derive the source code or underlying structure of the Website, except where the law expressly permits it;
- use the Website to send spam, unauthorised promotions or chain messages, or to circumvent geographic, technical or access restrictions; or
- help, encourage or allow anyone else to do any of the above.
We may investigate suspected violations and may report them to law enforcement or other authorities. We may also suspend or terminate access as described in section 14.
07Intellectual property
The Website and all content on it — including text, graphics, illustrations, photographs, videos, layouts, designs, code, reports, data compilations, trade names, logos and trademarks — are owned by FirstBridge or licensed to us, and are protected by copyright, trademark, database and other laws.
“FirstBridge”, “FirstBridge Digital”, our logo and any related names, slogans or visual identity are our trademarks or those of our licensors. You may not use them without our prior written permission, except for accurate, non-misleading references to FirstBridge. Nothing on the Website grants you a licence to use any trademark, logo or brand feature.
Client materials
You (or your organisation) retain ownership of materials you provide to us for a client engagement, subject to the rights granted in the applicable Client Agreement. We will use those materials only as permitted by that agreement and these Terms.
Feedback
If you send us suggestions, ideas, comments or other feedback about the Website or our Services, you grant us a worldwide, perpetual, irrevocable, royalty-free licence to use, adapt and commercialise that feedback without restriction or compensation. Do not send us feedback you consider confidential.
Copyright concerns
If you believe that content on the Website infringes your copyright, please email [email protected] with: (a) a description of the protected work; (b) the URL or location of the allegedly infringing material; (c) your contact details; (d) a statement that you have a good-faith belief the use is unauthorised; and (e) a statement that the information you have provided is accurate and that you are the rights holder or authorised to act for them. We may remove or disable access to material while we review a valid notice.
08Your submissions
Any information or material you send through public Website forms, email links or other open channels is not confidential. Please do not send trade secrets, sensitive personal information or other material you need to keep confidential until we have agreed a secure method and a confidentiality arrangement with you.
By submitting content through the Website, you grant us a non-exclusive, worldwide, royalty-free licence to use, reproduce, store, adapt and display that content as reasonably necessary to respond to you, provide the Services, operate and improve the Website, and comply with the law. You represent that you have all rights needed to grant this licence and that the content does not violate anyone’s rights.
We are not obliged to monitor submissions, but we may review, remove or refuse to publish any content that we consider unlawful, misleading, harmful or in breach of these Terms.
09Third-party links and services
The Website may contain links to websites, platforms, tools or resources operated by third parties. We do not control those third parties and are not responsible for their content, products, services, security or privacy practices. A link does not mean we endorse the third party or its offerings.
If you access a third-party service, you do so at your own risk and subject to that third party’s terms and privacy policy. We are not liable for any loss or damage arising from your use of a third-party service.
10Disclaimers
To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available”. We make no representations or warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness, availability, security or freedom from viruses or other harmful components.
We do not warrant that the Website will meet your requirements, that access will be uninterrupted or error-free, that defects will be corrected, or that the Website or the servers that make it available are free of harmful components. You are responsible for implementing your own safeguards against viruses and other harmful code.
Nothing on the Website constitutes legal, tax, financial, accounting or other professional advice. You should obtain appropriate professional advice before acting on any information from the Website. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.
11Limitation of liability
To the fullest extent permitted by law, FirstBridge, its affiliates and their respective directors, officers, employees, agents and licensors will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunity or anticipated savings, arising out of or relating to these Terms, the Website or your use of, or inability to use, the Website, even if we have been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these Terms or your use of the Website will not exceed the greater of (a) USD 100 or (b) the amount you paid us for access to the Website in the 12 months before the event giving rise to the claim. This cap does not apply to any liability under a Client Agreement, which is governed by that agreement.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, wilful misconduct, death or personal injury caused by negligence, or any other liability required by applicable law.
You acknowledge that these limitations are reasonable given that the Website is made available without charge, and that they form part of the basis on which we make the Website available.
12Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify and hold harmless FirstBridge, its affiliates and their respective directors, officers, employees, agents and licensors from and against any claims, actions, demands, liabilities, damages, losses, judgments, settlements and costs (including reasonable legal fees) arising out of or relating to:
- your breach of these Terms or any applicable law;
- your misuse of the Website or its content;
- your submissions or any content you provide; or
- your infringement or misappropriation of any third party’s rights.
We may assume the exclusive defence and control of any matter subject to indemnification by you, in which case you will cooperate with us and pay our reasonable defence costs. You may not settle any claim in a way that admits fault or imposes obligations on us without our prior written consent.
13Privacy, cookies and changes
Privacy
Our Privacy Policy explains what personal information we collect through the Website and how we use, share and protect it. By using the Website, you acknowledge that we will handle personal information in accordance with that policy.
Changes to these Terms
We may update these Terms from time to time to reflect changes in our Website, Services, legal requirements or business practices. We will post the revised Terms on this page and update the “Last updated” date. If the changes are material, we will take reasonable steps to bring them to your attention before they take effect. Your continued use of the Website after the effective date of the revised Terms means you accept them. If you do not agree, you must stop using the Website.
14Suspension and termination
We may suspend, restrict or terminate your access to all or part of the Website at any time, with or without notice, if we reasonably believe that you have breached these Terms, that your use creates a security, legal or operational risk, or that suspension is necessary for maintenance or legal compliance. We will not be liable to you or any third party for any suspension or termination permitted by this section.
The following sections survive termination: intellectual property, submissions, third-party links, disclaimers, limitation of liability, indemnification, governing law and general provisions, together with any other provision that by its nature should survive.
15Governing law and dispute resolution
These Terms and any dispute or claim arising out of or in connection with them or the Website (including non-contractual disputes) are governed by the laws of the People’s Republic of China, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to any mandatory protections available to you under the law of your place of residence, the courts located in Hangzhou, Zhejiang, China, will have exclusive jurisdiction to settle any dispute arising out of or relating to these Terms or the Website.
Before starting formal proceedings, we encourage you to contact us at [email protected] so that we can try to resolve the matter in good faith. Either party may seek interim or injunctive relief from a court of competent jurisdiction at any time.
16General provisions
- Entire agreement. These Terms and our Privacy Policy are the entire agreement between you and us regarding the Website. They do not replace any Client Agreement, which remains separate.
- Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
- No waiver. Our failure or delay in exercising any right or remedy is not a waiver of that right or remedy.
- Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign or transfer them to an affiliate or in connection with a merger, acquisition, reorganisation or sale of assets.
- Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control, including natural disasters, pandemics, war, civil unrest, labour disputes, internet or utility failures, or government action.
- Headings and language. Headings are for convenience only. These Terms are drafted in English; any translation is provided for convenience, and the English version controls to the extent permitted by law.
- No third-party beneficiaries. Except for our affiliates and licensors, no third party has any right to enforce these Terms.
- Electronic communications. You agree to receive communications from us electronically, and electronic notices satisfy any legal requirement for written communication.
